5. Terms and Conditions of Service
5.1 The following terms and conditions ("Terms") outline the basis upon which we offer our consultancy services. Please read these in conjunction with any accompanying communications.
5.2 Any disputes arising from these Terms shall be governed by the law of England and Wales and will be exclusively addressed by the English and Welsh Courts.
5.3 These Terms, unless otherwise agreed in writing or superseded by later editions, establish the complete agreement between us. They supersede any previous agreements and will apply uniformly to all current and future instructions provided to us.
5.4 These Terms are intended solely for the benefit of the parties involved and their successors, and are not intended to, nor enforceable by, any other parties.
5.5 The obligations of the parties will remain in effect for their respective successors and assigns.
5.6 If circumstances beyond our control prevent us from fulfilling our obligations under these Terms, we shall not be in breach or liable for such delay or failure.
5.7 These Terms do not establish a partnership, joint venture, or agency between the parties.
6. Hours of Operation
Our regular office hours are between 9:00 AM and 5:00 PM on weekdays. Outside of these hours, you can leave messages via email, and we will respond within one working day.
7. Responsibility and Site Access
7.1 The client is responsible for granting access to relevant areas and securing the site after our visit, and is responsible for Health & Safety under the Health and Safety at Work Act 1974 and nay other applicable UK Legislation.
7.2 We do not accept liability for storage of data, files, or work beyond a reasonable period, which may be less than one year.
8. Fees and Payment
8.1 Our Fees, covering consultancy services and any disbursements, are payable by bank transfer.
8.2 Payment must be completed immediately upon receipt of invoice, unless otherwise agreed in writing.
8.3 Invoices not paid within 30 days of the invoice date will be subject to interest at a rate of 8% over the HSBC Bank PLC base lending rate.
9. Cancellation and Changes
9.1 Cancellation of scheduled services must be made in writing within the specified time frame detailed in the respective Booking Form.
9.2 A cancellation fee may apply for services that are cancelled within the specified notice period.
10. Instructions
10.1 All instructions must be provided in writing and will be accepted upon completion and return of the relevant Booking Form.
11. Data Protection
11.1 We will use the information provided primarily to offer our services and comply with legal and regulatory requirements.
11.2 Our use of information is governed by the Data Protection Act 2018 and GDPR.
12. Limitation of Liability
12.1 Our liability is limited to an aggregate equivalent of no more than five times our Fees, up to a maximum of £50,000. We shall not be liable for indirect or consequential loss, including loss of revenue, profit, or business opportunity.
12.2 We will not be liable for any losses resulting from false, misleading, or incomplete information provided by you or third parties.
13. Performance
13.1 We will provide you with an estimated timeline for our services, which may be subject to adjustments due to unforeseen circumstances beyond our control.
13.2 We may subcontract parts of our obligations to competent third parties.
14. Site Plans and Drawings
14.1 Depending on the survey type, you may need to provide accurate site plans or drawings in specified formats to facilitate our work.
15. Language
15.1 All communications and contracts will be conducted in English.
16. Complaints
16.1 Please address any concerns with the person assigned to your project. We aim to rectify any mistakes promptly.

17. Governing Law
17.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
18. Governing Law and Dispute Resolution
18.1 These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
18.2 Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the Chartered Institute of Arbitrators. The arbitration proceedings shall be conducted in English and held in London, England.
19. Data Protection
19.1 We will handle your information in accordance with applicable data protection laws and regulations. We will use the information you provide primarily to deliver our services and for related purposes such as statutory compliance.
20. Confidentiality
20.1 We will treat all information provided by you as confidential and will not disclose it to any third party except as necessary to provide the agreed services.
21. Non-Circumvention and Non-Disclosure Agreement
21.1 By engaging our services, you agree to the provisions of the Non-Circumvention and Non-Disclosure Agreement ("Agreement") as follows:
21.1.1. Non-Circumvention:
a. During the term of this agreement and for a period of [3] months thereafter, you agree not to directly engage, hire, contract, or otherwise work with any Specialist introduced by us without our prior written consent.
b. If you intend to engage a Specialist introduced by us, you agree to compensate us for the full amount of the consulting fees that we would have received if engaged directly for the services provided by the Specialist.
21.1.2. Non-Disclosure:
a. Both parties agree to maintain the confidentiality of any proprietary information, trade secrets, business strategies, client lists, and other sensitive information shared during the course of discussions or any subsequent engagement.
b. You shall not disclose any such information to third parties without our prior written consent.
21.1.3. Remedies:
In the event of a breach of any provision of this Agreement, the non-breaching party shall be entitled to seek injunctive relief, in addition to any other remedies available under applicable law.
21.1.4. Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
21.1.5. Entire Agreement:
This Agreement contains the entire understanding between the parties and supersedes all prior and contemporaneous agreements, understandings, inducements, or conditions.
21.1.6. Modification:
This Agreement may not be modified or amended except in writing and signed by both parties.
22. Severability
22.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired.
23. Amendments
23.1 We reserve the right to amend these Terms from time to time. Any changes will be communicated to you in writing.
24. Electronic Communication
24.1 We may communicate with you electronically, including by email or through our online platforms, for the purpose of providing services and updates.
25. Waiver
25.1 Any failure or delay by us in enforcing any provision of these Terms shall not constitute a waiver of that provision or any other provision of these Terms.
